1. Parties, Acceptance of Terms & Definitions
This Customer Agreement ("Agreement") is entered into by and between ONE FX CAPITALS LIMITED (Registered no. SC12872929, Registered Address: PO Box 4385, 12872930: COMPANIES HOUSE DEFAULT ADDRESS, Cardiff, CF18 6LH) ("Company", "we", "us", or "our") and the natural person or legal entity completing the account registration process ("Client", "Account Holder", or "you").
By clicking "Accept", registering an account, depositing capital, downloading our trading terminal, or submitting any trading order, you acknowledge that you have read, understood, and irrevocably consented to be legally bound by every covenant, condition, and provision set forth herein.
Key Definitions
- "Direct Market Access (DMA) / STP": Straight-Through Processing execution model wherein every Client trade is automatically matched and routed directly to tier-1 institutional liquidity providers without dealing desk intervention.
- "Margin": The mandatory collateral balance required in your trading account to initiate and sustain open positions in Contracts for Difference (CFDs), spot currencies, and precious metals.
- "Margin Level": The mathematical ratio of Account Equity to Used Margin, expressed as a percentage: (Equity ÷ Used Margin) × 100%.
- "Slippage": The difference between the expected execution price of an order and the actual price at which the order is filled in the interbank market.
- "Stop-Out Level": The predetermined Margin Level (50%) at which our matching engine automatically closes open positions to protect the Account Holder from progressive loss.
2. Regulatory Standing & Client Fund Segregation
AX Capitals Ltd is authorized and regulated as a Securities Dealer by the Financial Services Authority (FSA License No. SD089). We maintain the highest standards of financial conduct, market transparency, and institutional capitalization.
100% Tier-1 Custodian Bank Segregation: In accordance with statutory Client Money Safeguarding Regulations, all retail and institutional client funds are deposited into segregated trust accounts maintained exclusively with Tier-1 international banking institutions (including Barclays Bank PLC and JPMorgan Chase). Client capital is legally separated from AX Capitals' operational balance sheets. Under no circumstances are client funds utilized for company operating expenses, proprietary hedging, or corporate obligations.
The Company conducts daily internal client money reconciliations to ensure that segregated balances held in custodian banks equal or exceed total net client obligations at all times.
3. Account Registration, Eligibility & Security
To be eligible to open a live trading account with AX Capitals, the applicant must:
- Be at least eighteen (18) years of age (or the legal age of majority in your jurisdiction).
- Possess full legal power, capacity, and authority to enter into financial derivative contracts.
- Not be a resident, citizen, or registered entity of any Prohibited Jurisdiction as defined in our KYC Policy.
- Successfully complete Customer Due Diligence (CDD) identity verification as mandated by the FSA.
Account Credentials & 2FA
The Client is solely responsible for maintaining the absolute confidentiality of their Master Account password, Trading Terminal password, and Two-Factor Authentication (2FA) authenticator keys. Any order, transfer, or instruction received by AX Capitals using the Client's authenticated credentials shall be conclusively presumed to have been authorized by the Client.
4. Order Execution Policy & Direct Market Access
AX Capitals operates exclusively on an Agency Straight-Through Processing (STP) / Electronic Communication Network (ECN) execution model. We aggregate price feeds directly from more than 16 top-tier global banks and institutional non-bank liquidity providers.
No Dealing Desk / No Market Making Conflict: AX Capitals operates zero internal "B-Book" dealing desks. The Company never takes the opposite side of your trading positions. Our matching engines transmit orders through low-latency cross-connects located directly in Equinix NY4 (Secaucus, NJ) and Equinix LD4 (Slough, UK) facilities with typical execution latency below 28 milliseconds.
Order Types & Execution Characteristics
- Market Orders: Executed immediately at the best executable price available in the interbank liquidity pool at the instant of matching.
- Limit Orders: Executed at the specified price or better. If market liquidity is insufficient at the limit price, the order remains open in the order book.
- Stop Orders (Stop Loss / Buy Stop / Sell Stop): Once triggered, a stop order transforms into a market order and is filled at the next available interbank price.
- Symmetrical Slippage: During high market volatility, economic data releases, or liquidity gaps, orders may experience slippage. AX Capitals enforces strict symmetrical slippage: positive slippage (fills at better prices) is passed through to the Client in full, identically to negative slippage.
5. Pricing, Spreads, Commissions & Overnight Swaps
All tradable quote prices displayed on our platforms reflect raw interbank liquidity feeds, variable spreads, and market depth.
- Floating Spreads: Spreads are floating and fluctuate continuously based on underlying liquidity, volatility, and order volume. Raw ECN spreads on major currency pairs (such as EUR/USD, GBP/USD, USD/JPY) start from 0.0 pips during active market sessions.
- Commission Schedules: On Raw ECN / Gold / VIP accounts, a transparent fixed institutional commission is levied per lot traded. Standard accounts have zero commission with the brokerage spread built into the feed.
- Overnight Financing (Swaps): Positions held open across the 21:00 UTC market rollover are subject to swap charges or credits reflecting the interest rate differentials of the underlying currency pair or asset. On Wednesday evening, a triple-swap (3-day rollover) is assessed on currency and metals positions to account for weekend settlement.
6. Margin Trading, Leverage & Stop-Out Liquidation
Trading foreign exchange and contracts for difference on margin involves leverage, which amplifies both prospective gains and potential losses. The Client is obligated to monitor their account margin requirements continuously.

Margin Call (100%) vs Stop-Out (50%)
Margin Call Notice (100%): When your Margin Level declines to 100%, the platform issues visual warnings. While no positions are liquidated at this stage, new positions cannot be opened without depositing additional margin.
Automated Stop-Out Liquidation (50%): If your Margin Level falls to 50% or below, our automated risk engine initiates sequential liquidation. Positions are closed beginning with the order experiencing the largest floating loss until the Margin Level is restored above 50%.
7. Guaranteed Negative Balance Protection
AX Capitals provides unconditional Negative Balance Protection to all retail and standard trading accounts.
Negative Balance Guarantee: In the event of extreme geopolitical volatility, unscheduled central bank rate shocks, or extraordinary weekend opening market gaps that cause your account balance to fall below zero ($0.00), AX Capitals will reset the account balance back to zero ($0.00) at company expense. Under no circumstances will a retail client be held liable to repay or rectify a negative account balance resulting from normal leveraged market operations.
To request an automated balance reset if your account encounters a negative balance following an extreme market event, simply notify the dealing desk or support team via the client portal.
8. Deposits, Withdrawals & Anti-Money Laundering Rules
AX Capitals supports a variety of secure funding and withdrawal mechanisms, including international bank wire transfers, major credit/debit cards, and approved digital assets.
Same-Name & Return-to-Source Rule
In strict compliance with statutory anti-money laundering (AML) directives:
- All deposits must originate from a financial institution or payment instrument registered under the Client's verified legal name. Third-party deposits are strictly prohibited and will be rejected.
- Withdrawals must be processed back to the exact same payment method and bank account utilized for the initial deposit, up to the total cumulative deposit amount. Trading profits may subsequently be remitted via wire transfer to a verified bank account in the Client's name.
- Withdrawal requests are processed by our treasury desk within 24 business hours following receipt, provided all KYC verification requirements are complete.
AX Capitals assesses 0% brokerage fees on deposits. Any intermediary correspondent bank transfer fees are assessed directly by the transacting banking institutions.
9. Permitted Trading Styles vs Prohibited Misconduct
AX Capitals embraces sophisticated, quantitative, and institutional trading methodologies. The following trading styles are explicitly welcome and fully supported:
- Algorithmic & Expert Advisors (EAs): Full automated execution on MT5 and proprietary WebTrader.
- Hedging & Straddling: Opening simultaneous opposite positions in identical or correlated instruments.
- High-Frequency Trading (HFT): Scalping, short holding times, and high trade velocity through REST and FIX 4.4 APIs.
Strictly Prohibited Abusive Practices:
The Company strictly bans:
(a) Latency Arbitrage: exploiting asynchronous communication delays between price feeds and server nodes;
(b) Software Glitch / Malfunction Exploitation: taking advantage of off-market quotes or system errors;
(c) Insider Trading & Market Manipulation: spoofing, quote stuffing, or coordinating abusive order flow across accounts;
(d) Account Sharing & Proxy Trading: permitting unauthorized third parties to manage your credentials without an authorized Power of Attorney on file.
Where abusive trading or system exploitation is identified, AX Capitals reserves the contractual right to nullify abusive transactions, reverse ill-gotten profits, and terminate client access.
10. Comprehensive Risk Disclosure & Warning
Trading Foreign Exchange, Precious Metals, Stock Indices, and Financial Derivatives on margin carries substantial risk of loss and is not suitable for all investors. Before deciding to trade, you must evaluate your investment objectives, financial resources, and risk tolerance.
The high degree of leverage available in derivative markets can work against you as well as for you. You may lose a substantial portion or all of your deposited capital. You must never trade with money that you cannot afford to lose, such as retirement funds or living capital.

11. Platform License, APIs & Technical Availability
Subject to compliance with this Agreement, AX Capitals grants the Client a non-exclusive, non-transferable, revocable personal license to install, access, and utilize the AX Capitals WebTrader, MT5 Suite, Mobile Applications, and FIX 4.4 / REST institutional APIs for personal or corporate trading execution.
While the Company maintains redundant server clusters across Equinix NY4 and LD4 with a 99.98% historical uptime record, the Client acknowledges that internet routing, client hardware failures, power outages, and telecommunication network disruptions are beyond our control. AX Capitals maintains a 24/5 Direct Voice Dealing Desk (+44 7480 263009) to assist with telephone emergency order closure in the event of client local internet failure.
12. Limitation of Liability & Force Majeure
Neither AX Capitals nor its directors, officers, employees, or technology licensors shall be held liable for any indirect, incidental, punitive, or consequential damages, lost profits, or business interruption arising from platform unavailability, order latency during extreme market stress, or third-party bank communication failures, except where resulting from gross negligence or willful misconduct on the part of the Company.
Force Majeure Events
The Company shall not be in breach of this Agreement or held accountable for delays or performance failures caused by events beyond our reasonable control, including acts of God, war, armed conflict, civil unrest, labor strikes, power grid blackouts, exchange trading halts, sovereign currency devaluations, or cyberattacks.
13. Governing Law, Jurisdiction & Complaints Resolution
This Agreement, its interpretation, and all non-contractual obligations arising out of or in connection with it shall be governed by and construed in accordance with the laws and statutes of the Financial Services Authority.
Complaints Handling Protocol
- If you have a trading inquiry or dispute regarding an order fill or balance calculation, you must submit a written ticket to desk@axcapitals.com within five (5) business days of the incident, including order ticket numbers and timestamps.
- Our Dealing Desk will review server matching logs and furnish an initial formal response within 48 hours.
- If the resolution is unsatisfactory, the matter is escalated to the Chief Compliance Officer, who will deliver a final determination within 14 business days.
Any unresolved dispute shall be subject to the exclusive jurisdiction of the competent courts of the regulatory authority.
14. Privacy, Cookie Policy & Data Governance
AX Capitals respects your privacy and is dedicated to protecting your personal data in accordance with international data protection standards and General Data Protection Regulation (GDPR) frameworks.
- Data Collection: We collect personal identification data, residential proof, financial background, and trading logs strictly for legal compliance, account setup, and order execution.
- No Commercial Data Resale: AX Capitals does not sell, license, or lease client personal records or contact information to marketing third parties.
- Cookies & Local Storage: We use strictly necessary and performance cookies/local storage to remember user interface preferences (such as Light/Dark mode) and maintain secure user sessions.
